These terms apply to PR and storytelling work carried out by The Brand Script. A signed proposal or written scope always sits on top of them, so if the two ever disagree, the proposal wins.
Who you are working with
The Brand Script is a public relations and storytelling practice. Work is carried out by Medha Chatterjee and, where a project needs it, by named specialists briefed by her. Our website and business systems are run for us by an external technology provider who handles security and technical operations only and is not party to your engagement.
What we agree before we start
Every engagement begins with a written scope covering deliverables, timelines and fees. Nothing starts until you have confirmed that scope in writing.
- Work outside the agreed scope is quoted separately before it begins.
- Timelines assume you supply information and approvals within the agreed windows.
- Either side can propose changes in writing at any time.
What we can and cannot promise
This is the clause worth reading twice. We promise effort, craft and access. We cannot promise outcomes that other people control.
- Coverage is never guaranteed. Editors and journalists decide what they publish. We pitch well and we pitch to the right people, but no agency on earth can commit to a placement on your behalf.
- We do not pay for coverage and we do not present paid placements as editorial. If a platform requires payment, we tell you and you decide.
- We do not guarantee commercial results. Visibility is not the same as sales, and anyone promising you otherwise is selling something else.
- Published work stays published. Once an article is live, removing or amending it is the publication's decision, not ours.
What we need from you
- Information that is accurate and that you have the right to share.
- Approvals and feedback within the agreed turnaround, since media windows close fast.
- Prompt notice if facts change, especially after something has been pitched.
If a claim you ask us to publish turns out to be untrue or infringes someone else's rights, the responsibility for that claim rests with you.
Fees and payment
- Fees, instalments and any retainer are set out in the proposal.
- Unless the proposal says otherwise, invoices are payable within fourteen days.
- Work may be paused on overdue accounts, and we will tell you before that happens.
- Third party costs such as award entries or paid listings are billed at cost and only with your approval.
Confidentiality
Your unannounced news is treated as confidential by default. How that works in practice, including how embargoed material is stored and transferred, is set out in our confidentiality policy.
Ownership of work
Once an invoice is settled, the materials we produce for you, such as press releases, authored articles and media copy, are yours to use. We keep the right to describe the engagement and show resulting coverage as part of our own portfolio, unless you ask us in writing not to.
Ending an engagement
Either side may end an engagement with fourteen days written notice. Work completed and costs committed up to that point remain payable. Pitches already in a journalist's hands cannot be recalled, and we will tell you what is still in flight.
Liability
We take responsibility for our own work and our own mistakes. Our total liability for any claim connected to an engagement is limited to the fees you paid for that engagement. We are not liable for indirect losses such as lost profit, lost opportunity or reputational harm arising from editorial decisions made by third parties. Nothing here limits liability that cannot lawfully be limited.
Changes to these terms
We may update these terms. The version published here on the day your scope is signed is the one that applies to that engagement.
Governing law
These terms are governed by the laws of India, and the courts of Kolkata, India have exclusive jurisdiction over any dispute. Before anyone reaches for a lawyer, we would much rather you email us and give us a chance to fix it.
